ET-ERP is an Application, created by Kariwala Industries Ltd., hereinafter referred to as KIL. This Application may be used subject to the following terms and conditions of use .

1. By using ET-ERP Application you are agreeing to comply with the TACOU. KIL may add, delete or modify any or all of these terms and conditions of use at any time. If you continue to use ET-ERP Application, it would automatically mean that your consent is there for the revised TACOU.
2. In order to register with the Website you are required to submit your first and last names,company or organisation name, email address, user name and password.
3. Once you have completed your free trial period for the ET-ERP Application or you have exceeded the free user limit, you will be subject to monthly/yearly subscription fees in accordance with the ET-ERP Application Fee Schedule.You will be required to submit payment monthly/yearly in advance for the ET-ERP Application and may purchase, in advance, a monthly/yearly subscription for the ET-ERP Application. Access to the ET-ERP Application may be disabled until payment is received. Payment for the products will be made by a valid PAYPAL Account.
4. KIL informs the Users who agree and acknowledge that KIL does not make any representation or warranty the legality, accuracy and safety of information givenin the contents of this Application. Users also acknowledge that KIL will not be liable for any damages of any sort resulting from use of this Application.
5. User hereby agrees to hold KIL harmless, its affiliates/group companies, its directors, officers, employees, agents, successors, advisors, consultants and assigns from any and all causes of action and claim of any nature resulting from using information given in this Application.
6. While giving feedback for ET-ERP Application User should not post, transmit any content that violatesany laws, local, state, national or international. User will not post any content that is unlawful, obscene, or under any circumstances objectionable, as also determined by KIL at its sole discretion.
7. As with several other applications, ET-ERP Application functioning depends on a large number of factors such as internet connectivity, software, hardware, data storage, etc. and KIL does not guarantee that there will be no disruption to the use of ET-ERP Application and that the service will be continuous, uninterrupted, timely, secure or error-free and KIL is not liable for all that and for the failure of the internet or any data or telecommunication equipment, system or network of the User used in connection with ET-ERP Application.
8. KIL reserves the right to change, modify or discontinue, temporarily or permanently, ET-ERP Application with or without notice to its Users.
9. User acknowledges and agrees to indemnify and hold KIL, its directors, affiliates/group companies, employees, officers, agents, licensors and suppliers harmless from and against any claims, actions or demands, liabilities and settlements including without limitation any legal or other fees.
10. Governing Law & Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of REPUBLIC OF INDIA and the Courts at Kolkata, West Bengal, India shall have exclusive jurisdiction in all matters and disputes arising out of and relating to ET-ERP Application. The parties shall attempt to settle any dispute arising from and/or in connection with this agreement by way of negotiation. If the dispute is not so resolved within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. Each party shall nominate its own arbitrators and the two arbitrators thus nominated shall appoint the Chairman of Arbitral Tribunal and the place of arbitration shall be Kolkata in India only. All disputes under this agreement shall be subject to the exclusive jurisdictions of the courts situated at Kolkata, India only. The language of the Arbitration shall be English.
11. Intellectual property: KIL is the sole/exclusive owner of all the intellectual property and in particular all the patent rights, the copy-right/rights, trademarks rights, database rights, trade secret rights and patents in ET-ERP Application and in any software, application, graphics, text and other materials used therein. A User may use the trial version of ET-ERP Application if satisfied may use the paid version of this Application.
